Welcome to Sandwiched.me (“Sandwiched,” “we,” “our”), a service of SnowGenesis Inc. By accessing our website or using our API services, you (“User,” “you”) agree to comply with and be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, you must not use our services.
1. Eligibility and Authority
You represent and warrant that:
(a) you are legally able to enter into these Terms;
(b) if you use the Services on behalf of an entity, you have authority to bind that entity; and
(c) you will comply with all applicable laws, rules, and regulations in connection with your use of the Services.
2. Changes to the Services and Terms
We may modify, suspend, discontinue, or restrict any part of the Services at any time, with or without notice. We may also modify these Terms from time to time. The updated version will become effective when posted, unless a later effective date is stated. Your continued use of the Services after the effective date of updated Terms constitutes acceptance of the updated Terms.
3. Registration, API Access, and Account Information
We may require you to provide information in connection with access to the Services, including your name, email address, organization, social handles, intended use case, and usage information. You agree that any information you provide will be accurate and complete.
We may collect and process technical and usage data, including IP address, device and browser information, request metadata, API usage data, and similar operational information, to operate, secure, improve, and administer the Services.
4. API Keys and Security
API keys are confidential, personal to the authorized user or organization, and non-transferable unless we expressly approve otherwise in writing. You are responsible for all activity conducted using your API key.
You must:
(a) maintain the confidentiality of your API key;
(b) not share, publish, sell, sublicense, or otherwise disclose your API key to any third party except your authorized personnel with a need to know and appropriate security controls;
(c) promptly notify us of any actual or suspected unauthorized access, use, or disclosure; and
(d) use reasonable administrative, technical, and organizational safeguards to protect your credentials and systems.
We may rotate, revoke, suspend, or replace API keys at any time.
5. Limited License
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services and associated outputs solely for your internal lawful business purposes, unless we expressly agree otherwise in writing.
No rights are granted except as expressly stated in these Terms.
6. Ownership and Intellectual Property
As between you and us, we own all right, title, and interest in and to the Services, including all software, models, classifiers, labels, scores, compilations, arrangements, formatting, visualizations, documentation, branding, and other materials made available through the Services, together with all related intellectual property rights.
Public blockchain data may itself be publicly available or owned by third parties. However, our collection, normalization, enrichment, analysis, labeling, scoring, arrangement, presentation, and delivery of that data, and all related outputs, are proprietary to us or our licensors.
You may not remove, obscure, or alter any proprietary notices.
7. Acceptable Use Restrictions
You may not, and may not permit any third party to:
(a) violate any applicable law, regulation, or third-party right;
(b) use the Services in a manner that infringes, misappropriates, or violates any person's rights;
(c) reverse engineer, decompile, disassemble, or attempt to derive source code, underlying models, classifiers, or non-public methodologies, except to the extent prohibited by applicable law;
(d) access or use the Services to build, benchmark, train, improve, or validate a competing product or service;
(e) resell, redistribute, republish, sublicense, or commercially exploit the Services or outputs except as expressly permitted in writing;
(f) misrepresent our outputs as your own original work or remove required attribution;
(g) interfere with or disrupt the integrity, security, or performance of the Services;
(h) circumvent rate limits, access controls, or usage restrictions;
(i) use bots, scrapers, or automated methods other than authorized API access;
(j) use the Services in connection with market manipulation, unlawful trading, front-running, abusive practices, sanctions evasion, fraud, or other unlawful conduct; or
(k) use the Services in any manner that could expose us or the Services to regulatory, reputational, or security risk.
8. Attribution
If you publicly reference, publish, display, or redistribute any output, findings, or excerpts derived from the Services where attribution is required by us, you must prominently attribute the source as “Sandwiched.me” or such other attribution format as we may designate.
We may update attribution requirements from time to time.
9. Third-Party Data and Dependencies
The Services may incorporate, depend on, link to, or process data from public blockchains, nodes, RPC providers, indexers, exchanges, wallets, third-party APIs, or other third-party sources. We do not control those sources and are not responsible for their availability, accuracy, legality, completeness, latency, or security.
Blockchain data may change due to reorgs, forks, node inconsistencies, chain-specific edge cases, delayed indexing, missing data, or other events.
10. Experimental, Informational, and Non-Reliance Notice
The Services are provided for informational purposes only.
Without limiting the foregoing:
(a) the Services may include classifier outputs, labels, flags, scores, rankings, categorizations, alerts, analytics, and other inferred or derived outputs;
(b) such outputs are probabilistic, heuristic, inferential, experimental, and may depend on assumptions, models, rules, and third-party or public data sources;
(c) such outputs may be incomplete, inaccurate, stale, false positive, false negative, or otherwise erroneous;
(d) any classification, label, flag, score, or other output made available through the Services reflects our system's output only and is not a statement of fact, accusation, finding of wrongdoing, or proof of unlawful conduct, intent, access to private transaction information, or any particular trading strategy or market behavior;
(e) without limiting the foregoing, a label or flag such as “wide sandwich” does not by itself mean that any person had access to private transaction information or engaged in unlawful, improper, or manipulative conduct;
(f) activity labeled or classified by the Services may in some cases reflect lawful, benign, or unrelated behavior, including but not limited to arbitrage, market making, momentum trading, reactive flow, hedging, routing behavior, execution artifacts, or other non-malicious or non-private-information-driven activity; and
(g) you are solely responsible for independently reviewing, evaluating, and validating any output before acting on it.
You acknowledge and agree that you are not relying on the Services as a substitute for legal, compliance, financial, investment, trading, investigative, forensic, or other professional advice, and you will not use the Services as the sole basis for any investment, trading, legal, compliance, enforcement, reputational, investigative, or other consequential decision.
11. No Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS.”
WE DISCLAIM ALL REPRESENTATIONS AND WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY WARRANTIES OF ACCURACY, COMPLETENESS, CORRECTNESS, NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, SATISFACTORY QUALITY, ERROR-FREE OPERATION, UNINTERRUPTED AVAILABILITY, SECURITY, OR THAT THE SERVICES OR ANY OUTPUTS WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.
WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT ANY OUTPUT, CLASSIFICATION, LABEL, ALERT, OR ANALYSIS IS TRUE, COMPLETE, CURRENT, CORRECT, OR SUFFICIENT FOR ANY PARTICULAR USE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
(a) WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, DATA, OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND
(b) OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (I) USD $100; OR (II) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
IF YOU USE A FREE TIER OR OTHERWISE PAY NO FEES, YOUR SOLE AND EXCLUSIVE REMEDY IS TO STOP USING THE SERVICES.
THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR OTHERWISE, AND EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
13. Your Responsibility for Use; Regulatory Compliance
You are solely responsible for:
(a) your use of the Services and any decisions, actions, publications, investigations, reports, alerts, or trades based on the Services;
(b) ensuring your use complies with all applicable laws, rules, and regulations;
(c) obtaining any necessary consents, permissions, or approvals;
(d) your interpretation of outputs; and
(e) implementing your own review, controls, and validation procedures before acting on any output.
We do not provide legal, regulatory, accounting, tax, trading, compliance, or investment advice.
14. Indemnification
You will defend, indemnify, and hold harmless SnowGenesis Inc., Sandwiched.me, and our affiliates, licensors, service providers, and each of their respective officers, directors, employees, contractors, and agents from and against any claims, demands, actions, investigations, proceedings, damages, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:
(a) your access to or use of the Services;
(b) your products, services, analyses, posts, alerts, reports, publications, or decisions that use or reference the Services;
(c) your violation of these Terms;
(d) your violation of applicable law or third-party rights; or
(e) any allegation that your use of the Services caused harm to a third party.
15. Privacy
Our collection, use, and disclosure of personal information are described in our Privacy Policy. By using the Services, you acknowledge that we may process personal information and technical data as described there.
16. Suspension and Termination
We may suspend, limit, or terminate your access to the Services, in whole or in part, immediately and without liability, with or without notice, if:
(a) you violate these Terms;
(b) we suspect misuse, abuse, fraud, security issues, or unlawful activity;
(c) we believe your use creates risk to us, the Services, or any third party;
(d) required by law, regulation, subpoena, court order, sanctions program, or government request; or
(e) we discontinue the relevant Service.
Upon termination, all rights granted to you under these Terms will immediately cease. Sections that by their nature should survive termination will survive, including Sections 6 and 10 through 24.
17. Export Controls and Sanctions
You represent and warrant that you are not, and are not acting on behalf of, any person or entity that is subject to sanctions or export restrictions under applicable law, and that you will not use the Services in violation of export control or sanctions laws.
18. Injunctive Relief
You acknowledge that a breach of Sections 4, 5, 6, 7, or 8 may cause irreparable harm for which monetary damages may be insufficient. Accordingly, we may seek injunctive or equitable relief, in addition to any other remedies available at law or in equity, without the necessity of posting bond except where prohibited by law.
19. Dispute Resolution; Arbitration; Class Action Waiver
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association in Florida, in English, by a single arbitrator.
You and we each waive any right to a jury trial and any right to participate in a class action, class arbitration, or representative proceeding.
Nothing in this Section limits either party's right to seek temporary or preliminary injunctive relief in a court of competent jurisdiction to protect intellectual property, confidential information, or security interests.
20. Governing Law
These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of Florida, without regard to conflict-of-laws principles, except to the extent preempted by federal law.
21. Force Majeure
We are not liable for any delay, interruption, or failure to perform resulting from causes beyond our reasonable control, including acts of God, natural disasters, public health events, war, terrorism, civil unrest, labor disputes, utility failures, internet outages, cyberattacks, blockchain events, node failures, exchange outages, third-party service failures, or governmental actions.
22. Assignment
You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, financing, reorganization, or sale of assets.
23. Severability; Waiver
If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect. A failure to enforce any provision is not a waiver of future enforcement.
24. Entire Agreement
These Terms, together with any applicable order form, API access letter, usage policy, or Privacy Policy that we designate as part of the agreement, constitute the entire agreement between you and us regarding the Services and supersede prior or contemporaneous understandings regarding the subject matter.
